Terms of Service

Service description

OnSkull is a CRM and WhatsApp conversation automation platform for Brazilian businesses. It includes sending and receiving messages via WhatsApp Cloud API, AI-based message classification, lead management, flow automation and handoff to human agents.

Registration and account

• Provide truthful, complete and up-to-date information.
• You are responsible for password confidentiality and all activity on your account.
• You must be at least 18 years old, with legal capacity to contract.
• Companies must have an active CNPJ and a legally authorized representative.

Connection to WhatsApp Business (Meta)

By connecting your WhatsApp Business account — via Embedded Signup or manual configuration — you represent that:

• You are the owner or authorized representative of the connected account.
• You agree to the WhatsApp Business Policy and Commerce Policy.
• You won't use the service for spam, unsolicited messages or content prohibited by Meta.
• You authorize OnSkull to act on your behalf in sending and receiving messages.

Acceptable use

You agree not to use OnSkull to:

• Send unsolicited (spam) or mass messages without valid opt-in.
• Promote illegal, dangerous, fraudulent or misleading products or services.
• Infringe third-party IP, image, honor or privacy rights.
• Engage in activity that violates Brazilian law or Meta's policies.
• Access unauthorized areas of the system or reverse-engineer the service.
• Operate in regulated sectors (healthcare, finance) without applicable authorizations.

We may suspend or terminate accounts that violate these rules, without prejudice to legal action.

Artificial intelligence

OnSkull uses AI to classify, rephrase and extract information from messages. You acknowledge that:

• AI may make mistakes; final decisions on customer service and sales are your responsibility.
• The AI does not take autonomous decisions that close conversations or change statuses without your supervision.
• You retain full control to take over human handling at any time.

Plans, payment and renewal

• Current plans and prices are on our website or in a specific contract.
• Payments follow the contracted cycle; subscriptions renew automatically unless canceled.
• Payment delinquency over 10 days may result in suspension.
• Applicable taxes are added per current legislation.

Intellectual property

All code, design, trademarks and documentation of OnSkull are the exclusive property of its operator. You receive a limited, revocable and non-exclusive license to use the service. The data you input remains yours — we act as a data processor to provide the service.

Availability and maintenance

We strive for high availability but don't guarantee uninterrupted operation. Scheduled maintenance will be announced when possible. We're not liable for unavailability from Meta failures, internet providers or force majeure.

Limitation of liability

To the maximum extent permitted by law, OnSkull's liability is limited to the amount actually paid by the user in the 12 months preceding the triggering event. We are not liable for lost profits, lost opportunities, indirect damages or damages from Meta, OpenAI or third-party actions.

Termination

• You may terminate your account at any time via settings or by contacting support.
• We may terminate for violations of these Terms or prolonged inactivity, with reasonable prior notice.
• After termination, data follows the Privacy Policy.

Modifications

We may change these Terms from time to time. Material changes will be announced via email or in-platform notice at least 15 days in advance. Continued use after the changes take effect implies acceptance.

Governing law and jurisdiction

These Terms are governed by Brazilian law. The courts of São José dos Campos - SP, Brazil, are elected to settle any matter, with waiver of any other venue.
